This Electronic Signature Consent Agreement ("Agreement") is between you and Veira Africa Ltd, RC No. 9701353, Tax Identification Number 2622464385086, of No. 10 Ogombo Road, Abraham Adesanya, Lekki-Epe, Lagos, Lagos State, Nigeria, the operator of Veira Pay.
Please read it before you accept. By clicking to accept, entering a one-time passcode, typing or drawing your name, or otherwise indicating agreement through the Service, you consent to the terms set out below.
01Purpose
1.1 Veira Pay operates as a digital service. To use it, you will need to sign, accept and receive documents electronically rather than on paper.
1.2 This Agreement records your consent to do so, explains the methods we use, and sets out your rights, including your right to withdraw consent and to request paper copies.
02Legal basis
2.1 Electronic signatures and electronic records are recognised in Nigeria. In particular:
- (a) section 17 of the Cybercrimes (Prohibition, Prevention, etc.) Act 2015 gives legal effect to electronic signatures in commercial transactions; and
- (b) sections 84 and 93 of the Evidence Act 2011 (as amended) provide for the admissibility of electronically generated evidence and for the manner in which electronic signatures may be proved.
2.2 You and we agree that an electronic signature applied in accordance with this Agreement has the same legal effect as a handwritten signature, and that an electronic record has the same legal effect as a paper original.
03Scope of your consent
3.1 Your consent applies to:
- (a) the Veira Pay Terms of Use, Privacy Policy and this Agreement, and any amendment to them;
- (b) transaction agreements, payment authorisations, release instructions and cancellations;
- (c) account opening forms, identity verification declarations and any anti-money laundering declaration;
- (d) settlement account mandates and instructions;
- (e) dispute submissions, evidence and determinations;
- (f) notices, statements, receipts, confirmations and disclosures we are required or choose to provide; and
- (g) any other document we present for electronic signature or acceptance through the Service.
3.2 Your consent applies to your own use of the Service and, where you act for a business, to your acts on behalf of that business.
3.3 Consenting to this Agreement does not by itself commit you to any transaction. Each document is separately presented for your signature or acceptance.
04Excluded documents
4.1 Consistent with section 17(2) of the Cybercrimes (Prohibition, Prevention, etc.) Act 2015, electronic signatures do not apply to certain categories of document, including wills, codicils and testamentary dispositions; birth and death certificates; matters of family law including marriage, divorce and adoption; court orders, notices and official court documents; the cancellation or termination of utility services; instruments required to accompany the transportation of hazardous materials; and any document ordering the withdrawal of drugs or chemicals.
4.2 We do not present such documents for electronic signature. Where a document of that kind is ever required, it will be handled in physical form.
05Signature methods we use
Any of the following, when applied through the Service, constitutes your electronic signature:
- (a) clicking a button or ticking a box marked "I agree", "Accept", "Confirm", "Authorise" or similar;
- (b) entering a one-time passcode sent to your registered email address or phone number;
- (c) entering your account password, PIN or biometric authentication on your device;
- (d) typing your name into a signature field;
- (e) drawing your signature on a touchscreen or with a pointer; or
- (f) replying to a message from us with an agreed word or code where we have identified you and told you that your reply will constitute a signature.
06Attribution and security
6.1 A signature applied using your credentials, your registered device, or a one-time passcode sent to your registered email address or phone number is attributed to you.
6.2 You are responsible for keeping your credentials, device and one-time passcodes confidential, and for not permitting any other person to sign on your behalf using them.
6.3 You must tell us immediately at support@veirapay.com if you believe your credentials have been compromised or that a signature has been applied without your authority.
6.4 You confirm that you are the person identified on the account and that you are authorised to sign each document you sign, whether personally or on behalf of a business.
07Records and copies
7.1 We record, for each electronically signed document, the version of the document signed, the identity of the signatory, the signature method used, the date and time, and technical data including the IP address and device from which the signature was applied.
7.2 We retain these records in accordance with our Privacy Policy and applicable law, and for at least five years after the end of the customer relationship where anti-money laundering record keeping applies.
7.3 You may access and download copies of documents you have signed through your Veira Pay dashboard, or request a copy from support@veirapay.com at no charge.
7.4 You may request a paper copy of any electronically signed document. Send the request to support@veirapay.com with the document name and date. We will provide it within a reasonable period. We may charge a reasonable fee to cover printing and delivery, and will tell you the amount before proceeding.
08System requirements
8.1 To access, sign and retain electronic documents you need:
- (a) an internet-connected computer or mobile device;
- (b) a current version of a widely used web browser;
- (c) the ability to view PDF documents;
- (d) a valid email address and phone number registered with us and accessible to you; and
- (e) sufficient storage, or the ability to print, in order to retain copies.
8.2 If our system requirements change in a way that materially affects your ability to access or retain records, we will notify you and give you the opportunity to withdraw your consent without charge.
09Keeping your contact details current
9.1 We deliver documents and notices to the email address and phone number on your account.
9.2 You must keep those details accurate and update them through your dashboard, or by contacting support@veirapay.com, as soon as they change.
9.3 A document sent to the details on your account is treated as delivered, whether or not you open it.
10Withdrawing your consent
10.1 You may withdraw your consent to electronic signatures and electronic records at any time by writing to support@veirapay.com with your name, account details and a statement that you wish to withdraw consent.
10.2 Withdrawal takes effect once we have processed your request. It is not retrospective: documents already signed electronically remain valid and binding, and records already provided remain effective.
10.3 Veira Pay is a fully digital service. If you withdraw consent, we will be unable to continue providing the Service to you and your account will be closed in accordance with clause 11 of the Terms of Use, once any open transaction or dispute is resolved and any funds due to you have been returned.
11Accuracy and reliance
11.1 You confirm that information you enter or confirm electronically is true, accurate and complete.
11.2 You agree not to dispute the validity, admissibility or enforceability of a document solely on the ground that it was signed or delivered electronically.
11.3 An electronically stored copy of a signed document, produced from our systems, is admissible as evidence of its contents.
12Changes to this Agreement
12.1 We may amend this Agreement. The current version will always be available at veirapay.com/e-signature.
12.2 Where an amendment is material, we will give you at least 14 days' notice before it takes effect, and you may withdraw your consent under clause 10 if you do not accept it.
13General
13.1 This Agreement is governed by the laws of the Federal Republic of Nigeria, and clause 20 of the Terms of Use applies to any dispute arising from it.
13.2 If any provision is found unenforceable, the remainder continues in force.
13.3 This Agreement forms part of your agreement with us alongside the Terms of Use and the Privacy Policy.

By accepting, you confirm that:

- (b) you can access and retain the documents described in it;
- (c) you consent to sign and receive documents electronically; and
